Venue & Business Partner Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Roundpit.com (“Roundpit,” “we,” “us,” or “our”) as a venue or business partner. By claiming, creating, or managing a listing on Roundpit.com, you (“Venue,” “you,” or “your”) agree to be bound by these Terms. Please read them carefully before proceeding.
These Terms apply to all registered venue accounts, including those on both our free and paid membership tiers.
1. Eligibility
To claim or create a listing on Roundpit.com, you must:
- Be a legally operating business or venue located in or serving the Syracuse, NY area
- Be authorized to act on behalf of the business you are registering
- Be at least 18 years of age
- Provide accurate, truthful, and complete information during registration
Roundpit reserves the right to reject or remove any listing at its sole discretion.
2. Account Registration & Claiming a Page
Roundpit may create listing pages for venues based on publicly available information prior to any claim being made. By claiming a page, you confirm that you are the authorized representative of that business.
You are responsible for:
- Maintaining the security and confidentiality of your account credentials
- All activity that occurs under your account
- Keeping your business information accurate and up to date
You agree to notify Roundpit immediately at contact@roundpit.com if you become aware of any unauthorized use of your account.
3. Free & Paid Membership Tiers
Roundpit offers two membership tiers for venue partners:
Free Tier
Free tier accounts include access to basic listing features including the ability to edit business information, add and manage events, and upload photos and logos. Free tier listings are subject to placement and visibility limitations at Roundpit’s discretion.
Paid Tier
Paid tier accounts include all free tier features plus access to enhanced visibility, priority placement, and additional promotional features as described on our pricing page. Paid tier pricing, billing cycles, and features are subject to change with reasonable notice to active subscribers.
Downgrading from a paid tier to a free tier will result in the loss of paid features at the end of the current billing period. Roundpit does not offer refunds for partial billing periods unless required by applicable law.
4. Content, Logos & Intellectual Property
4.1 Content You Provide
By uploading or submitting any content to Roundpit — including but not limited to business names, descriptions, logos, photographs, event information, and promotional materials (“Venue Content”) — you grant Roundpit a non-exclusive, royalty-free, worldwide license to:
- Display and publish your Venue Content on Roundpit.com and its associated pages
- Use your business name and logo to identify your listing on the platform
- Reproduce, distribute, and promote your Venue Content in connection with Roundpit’s marketing and promotional activities, including social media
- Modify or resize assets solely as necessary for proper display on the platform
This license remains in effect for as long as your listing is active on Roundpit.com and terminates upon verified removal of your listing, except where Roundpit has already distributed content in a format that cannot reasonably be recalled (e.g. social media posts).
4.2 Content Roundpit Creates or Curates
Roundpit may independently create, publish, or curate editorial content about your business, including reviews, event coverage, recommendations, and articles. This content is the property of Roundpit and does not require your prior approval. You acknowledge that Roundpit operates as an independent editorial platform.
4.3 Your Representations
You represent and warrant that:
- You own or have the right to submit all Venue Content you provide
- Your Venue Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party
- Your Venue Content is accurate and not misleading
- You have the authority to grant the license described in Section 4.1
5. Event Listings
As a venue partner, you may add and manage event listings on your Roundpit page. You are solely responsible for the accuracy of all event information including dates, times, ticket prices, age restrictions, and descriptions.
Roundpit reserves the right to remove or edit any event listing that:
- Contains inaccurate or misleading information
- Violates these Terms or applicable law
- Is determined by Roundpit to be inappropriate for the platform
Roundpit may also independently create event listings based on publicly available information. If you believe a listing is inaccurate, please contact us at contact@roundpit.com.
6. Prohibited Conduct
As a venue partner, you agree not to:
- Submit false, misleading, or fraudulent business information
- Upload content that infringes on any third party’s intellectual property rights
- Use Roundpit to promote illegal activities or content
- Attempt to manipulate search rankings, reviews, or any other platform feature
- Harass, threaten, or harm other users or Roundpit staff
- Use automated tools to scrape, access, or interact with the platform without authorization
- Attempt to gain unauthorized access to any part of Roundpit’s systems
7. Termination & Removal
Either party may terminate a listing at any time. You may request removal of your listing by contacting contact@roundpit.com. Roundpit reserves the right to suspend or terminate any listing or account at its sole discretion, with or without notice, for violation of these Terms or for any other reason.
Upon termination, Roundpit may retain archived or cached versions of your listing for a reasonable period and is not obligated to delete content that has already been shared or distributed.
Paid subscribers who are terminated for cause are not entitled to a refund of any prepaid fees.
8. Disclaimers
Roundpit.com is provided “as is” and “as available” without warranties of any kind, express or implied. Roundpit does not warrant that the platform will be uninterrupted, error-free, or free of harmful components.
Roundpit does not endorse or guarantee the accuracy of any venue listing, event, or user-submitted content on the platform.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Roundpit and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, even if advised of the possibility of such damages.
Roundpit’s total liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Roundpit in the twelve (12) months preceding the claim.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Onondaga County, New York.
11. Changes to These Terms
Roundpit reserves the right to update or modify these Terms at any time. We will provide reasonable notice of material changes via email or a prominent notice on the platform. Your continued use of the platform after such notice constitutes your acceptance of the updated Terms.
